About Launchite

Launchite Studio (“Launchite”, “we”, “us”) provides fully managed web services for small and medium businesses — including business websites, landing pages, lead capture, booking tools, listings, login portals, integrations, AI assistants, and ongoing care.

Our registered or trading name for client communication is Launchite Studio. Our website is launchite.in.

Agreement and precedence

These Terms apply to all clients and enquiries unless superseded by a written quote, statement of work, or signed contract that explicitly overrides a specific clause.

In case of conflict: (1) signed contract, (2) written quote / scope document, (3) these Terms, (4) information on our website.

Services we provide

  • Website design, development, and launch
  • Hosting, SSL certificates, domain connection assistance, and backups
  • Content updates, security patches, and technical maintenance (as per your plan)
  • Integrations with third-party tools — payments, WhatsApp, CRM, email, analytics, calendars, and more — when included in scope
  • Small web applications, dashboards, booking flows, and AI chat features — when separately scoped and quoted
  • Consultation and planning before you commit — free until you approve a quote

Enquiries and free consultation

You may contact us via WhatsApp, email, or our website form to discuss your requirement at no charge. Early conversations, research, and planning are free until you accept a written quote and make any agreed upfront payment.

Free consultation does not guarantee a fixed price, timeline, or availability. We reserve the right to decline projects that are outside our expertise, unethical, illegal, or not a mutual fit.

Quotes, scope, and changes

Every project is different. Before paid work begins, we provide a written quote or scope document describing pages, features, integrations, timeline estimate, fees, and what is included in hosting or maintenance.

Work outside the agreed scope — extra pages, new integrations, custom apps, copywriting, photography, or ad management — requires a change request and may be billed separately.

Client delays in providing content, approvals, or access credentials may shift timelines. We will communicate revised expectations in writing where possible.

Payment terms

  • All fees are in Indian Rupees (INR) unless stated otherwise
  • Pricing is custom — there are no hidden checkout prices on our website
  • An upfront payment or first-month fee is typically due before we start build work, as stated in your quote
  • Recurring monthly fees, if applicable, are billed in advance unless otherwise agreed
  • One-time project fees may be split into milestones (e.g. kickoff, launch) as specified in your quote
  • Late payments may pause work, suspend hosting, or incur reminders after reasonable notice
  • Taxes (including GST, if applicable) are added as per Indian law and shown on invoices
  • We do not store your full card or UPI credentials; online payments are processed by third-party gateways

Your responsibilities

  • Provide accurate business information, approved content, and timely feedback
  • Ensure you have rights to logos, photos, text, and other materials you supply
  • Register or transfer your domain in your own name where possible; we can guide you
  • Review deliverables during agreed review periods and report issues promptly
  • Maintain confidentiality of login credentials we share with you
  • Comply with applicable laws for your industry (health disclaimers, food licensing, etc.) on your public website
  • Pay third-party service fees that are billed directly to you (e.g. domain renewal, ad spend, some SaaS subscriptions) unless included in our quote

Intellectual property

You retain ownership of your brand, business content, and domain name. Upon full payment for custom work, you receive ownership or a perpetual licence to use the website design and content created specifically for you, except for third-party assets, open-source libraries, and our pre-existing tools or templates.

Launchite retains ownership of our proprietary methods, internal code libraries, and know-how. We may reuse general techniques and non-client-specific components across projects.

Portfolio use: unless you opt out in writing, we may display your launched site (or anonymised screenshots) in our portfolio and marketing materials after go-live.

Domain, hosting, and access

Your domain should be registered in your name or your business name. We can assist with DNS configuration, SSL, and hosting setup as part of the service.

During an active engagement, we manage hosting and technical infrastructure on your behalf. Upon termination, we will cooperate to transfer files, DNS, and access to you or another provider, subject to settlement of outstanding fees.

We perform regular backups, but you are encouraged to keep copies of important content. Backup recovery is provided on a best-effort basis and may not cover every scenario.

Third-party services and integrations

Many projects use third-party tools — payment gateways, WhatsApp Business API, email services, analytics, CRM, AI APIs, and cloud platforms. These services have their own terms and fees.

We configure integrations as agreed in scope. We are not responsible for outages, policy changes, or account suspensions caused by third-party providers, but we will help troubleshoot within our capability.

You are responsible for maintaining accounts, KYC, and compliance required by those providers (for example, Razorpay merchant onboarding).

AI features and chatbots

If your project includes AI assistants or chatbots, outputs may be inaccurate or incomplete. You are responsible for reviewing automated responses, setting appropriate limits, and not relying on AI for regulated advice (medical, legal, financial) without human oversight.

AI features may send prompts to third-party AI providers. Do not submit sensitive personal data through bots unless explicitly scoped and secured.

Maintenance, support, and response times

We aim to reply to WhatsApp messages within 1 hour on working days (Mon–Sat, 10:00–19:00 IST), and to handle most content updates within 1–2 business days after approval, unless your plan states otherwise.

Emergency security issues on hosted sites are prioritised. Feature requests beyond your plan are quoted separately.

Support covers the scope in your agreement — it does not include unlimited custom development, marketing strategy, or on-site IT unless agreed.

Uptime and service levels

We use reputable hosting and monitor uptime, but we do not guarantee uninterrupted access. Scheduled maintenance, DNS propagation, third-party failures, or force majeure events may cause temporary downtime.

We will use reasonable efforts to restore service and communicate major planned maintenance in advance where possible.

Confidentiality

We treat non-public business information shared during projects as confidential and use it only to deliver services. We do not disclose client secrets to competitors.

You agree not to share our proprietary pricing, internal documents, or credentials except to authorised persons in your organisation.

Warranties disclaimer

Services are provided on a commercially reasonable basis. Except as explicitly stated in a signed agreement, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific business results (leads, sales, search rankings, or revenue). We build and maintain professional web presence; marketing outcomes depend on many factors outside our control.

Limitation of liability

To the maximum extent permitted by law, Launchite’s total liability for any claim arising from our services is limited to the fees paid by you to us in the 12 months before the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnity

You agree to indemnify and hold Launchite harmless from claims arising from (a) content or materials you provide, (b) your violation of law or third-party rights, (c) misuse of your website or tools by you or your users, or (d) your breach of these Terms — except to the extent caused by our gross negligence or wilful misconduct.

Term, cancellation, and exit

  • Monthly plans continue until either party gives written notice — typically 30 days unless your agreement states otherwise
  • One-time projects end at handoff unless a maintenance plan is purchased
  • Either party may terminate for material breach if not cured within 15 days of written notice
  • Upon cancellation, you must pay for work completed and any committed third-party costs
  • We will provide reasonable assistance to export your site files and transfer DNS/hosting after outstanding invoices are settled
  • We may suspend or terminate services immediately for non-payment, illegal use, or abuse of our team

Acceptable use

  • No illegal content, fraud, hate speech, malware, or phishing
  • No infringement of copyright, trademark, or privacy rights
  • No attempts to hack, overload, or reverse-engineer our systems
  • No use that violates WhatsApp, payment gateway, or hosting provider policies
  • We may remove or disable content that violates these rules after notice where practicable

Disputes and governing law

These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to any mandatory consumer protection provisions that apply to you.

Before formal proceedings, both parties agree to attempt good-faith resolution by contacting vishal@launchite.in and allowing 30 days to negotiate.

Force majeure

Neither party is liable for delay or failure due to events beyond reasonable control — including natural disasters, war, government action, widespread internet outages, or critical third-party service failures — provided notice is given where possible.

General

  • If any clause is unenforceable, the rest remains in effect
  • Failure to enforce a right is not a waiver
  • You may not assign your agreement without our consent; we may assign to a successor in a merger or acquisition with notice
  • These Terms constitute the entire agreement regarding our standard services unless supplemented by a signed contract
